1. Introduction

1.1 This Terms of Service (collectively referred to as “Terms of Service”) stipulates in detail

the terms and conditions under which VNG SINGAPORE PTE. LTD., and/or its

subsidiaries, and/or affiliates (individually and collectively referred to as "VNG", "We"

or "Our") provides the following:

(a) Online video games (collectively referred to as “Games”);

(b) Software and applications provided by VNG (collectively referred to as

“Softwares”);

operated by VNG, including but not limited to the official websites of Games

(Homepage), Games social fanpages, payment portal, and customer support

channel of VNG (collectively referred to as “Websites”); and

(d) Any other applications, websites, games, or services provided by VNG related to

this Terms of Service.

(collectively referred to as “Service” or “Services”)

1.2 Services also included any content provided through Our Games, Websites, Softwares,

and Services, and all information, linked pages, features, data, text, document, images,

photographs, graphics, music, sounds, videos, notifications, tags, content, programming,

software, application services (including but not limited to mobile application services),

or other information, content, other documents that We provide (collectively referred to

as “Content”).

1.3 Before using any of Our Services, You must read, understand, and tick the box to show

that You agree to this Terms of Service and the Privacy Policy and VNGGames

Community Standard, especially the terms on disclaimers and liability restriction of

VNG, terms restricting Your rights, and other separate terms.

1.4 IF YOU DO NOT AGREE TO ANY TERMS OR CONDITIONS STIPULATED IN

THIS TERMS OF SERVICE, PLEASE DO NOT INSTALL, ACCESS, OR USE THE

SOFTWARE, GAMES, WEBSITES, OR SERVICES PROVIDED BY VNG, AND

IMMEDIATELY CEASE ACCESSING, CLOSE, AND COMPLETELY UNINSTALL

THE SOFTWARE, GAMES, AND SERVICES OF VNG ON YOUR DEVICE.

1.5 By ticking the box to agree before participating in or using the Services, You are deemed

to have read, understood, confirmed, and agreed to all the terms and conditions stipulated

in this Terms of Service and the Privacy Policy and VNGGames Community Standard,

along with any amendment or supplement to be made from time to time; and/or terms,

regulations, rules, guidelines, notices, announcements issued by VNG within the

Services, or on linked pages (owned/developed by VNG), or informed to You during

Your usage of the Services.

1.6 If You are a user which is considered as minor within the territory that you use the

(a) Your Account is registered and verified by Your parent or legal guardian using their 
information before participating in or using the Games and Services of VNG; 
(b) Your parent or legal guardian has read, understood, confirmed, and agreed to this 
Terms of Service and the Privacy Policy and VNGGames Community Standard, 
along  with  any  amendment  or  supplement  made  from  time  to  time;  or  terms, 
regulations, rules, guidelines, notices, announcements issued by VNG within the 
Services, Games, or on the Websites, linked pages (owned/developed by VNG), or 
informed to You during Your usage of the Games and Services; 
(c) You are supervised and managed by Your parent or legal guardian while using the 
Games and Services of VNG. 
1.7 IF YOU ARE A PARENT OR LEGAL GUARDIAN OF A MINOR, WHO WISHES TO 
USE THE GAMES OR SERVICES OF VNG, YOU MUST: 
(a) REGISTER AND VERIFY THE ACCOUNT OF THE MINOR UNDER YOUR 
SUPERVISION WITH YOUR INFORMATION; 
(b) ON BEHALF OF THE MINOR WHO IS UNDER YOUR SUPERVISION, TO 
READ, UNDERSTAND,  CONFIRM, AND  AGREE  WITH  THIS TERMS  OF 
SERVICE,  AND  THE  PRIVACY  POLICY,  VNGGAMES  COMMUNITY 
STANDARD, ALONG WITH ANY AMENDMENT OR SUPPLEMENT MADE 
FROM  TIME  TO  TIME;  AND/OR  TERMS,  REGULATIONS,  RULES, 
GUIDELINES,  NOTICES,  ANNOUNCEMENTS  ISSUED  BY  VNG  WITHIN 
THE  SERVICES,  GAMES,  OR  ON  THE  WEBSITES,  LINKED  PAGES 
(OWNED/DEVELOPED BY VNG), OR INFORMED TO YOU DURING THE 
USAGE PERIOD OF THE GAMES AND SERVICES; 
YOU  WILL  BE  FULLY  RESPONSIBLE  FOR  ALL  ACTIVITIES  USING  THE 
GAMES, OR SERVICES CONDUCTED BY THE MINOR, INCLUDING BUT NOT 
LIMITED TO THE TRANSACTION RELATING TO PURCHASES OF VIRTUAL 
UNITS, VIRTUAL ITEMS, IN-GAME BENEFITS, AND SERVICES CONDUCTED 
BY THE MINOR, REGARDLESS OF WHETHER THIS MINOR WAS SUPERVISED 
BY YOU OR NOT WHILE CONDUCTING SUCH TRANSACTION. 
1.8 Under all circumstances, if VNG discovers that You are participating in the Game(s) 
unsuitable for your age and/or without Your parent/legal guardian’s consent, VNG will 
immediately lock or delete Your Account. 
2. Definition 
Within this Terms of Service, all words and capitalized words are defined as below, unless the 
context requires otherwise. 
2.1 “Service Regulations”:  are terms  and  conditions  stipulated  in  this  Terms of  Service, 
Privacy  Policy,  VNGGames  Community  Standard,  along  with  any  amendment  or 
supplement made from time to time; and/or terms, regulations, rules, guidelines, notices, 
announcements issued by VNG within the Services, or on linked pages (owned/developed 
by VNG), or informed to You during Your usage of the Services. 
2.2 Privacy Policy: which explains information that We collect about You, how We protect 
that information, and how that information may be used.  
2.3 VNGGames Community Standard: which explains the conduct standards expected from

users, and outlines behavior prohibited on the Services.

2.4 “You”: refers to an individual using VNG’s Services, except it is used in a separate

specific context;

2.5 “Data”: are content/information created/generated while You participate and use the

Services and recorded by the server of the Services or by Your device (client) itself, and

stored on the device.

2.6 “Personal Information”: is information which identifies a specific individual as specified

in Article 4 of this Terms of Service.

2.7 “Account”: including VNG Account, Social Network Account, and accounts created as

specified in Article 3.

(a) “VNG Account”: means VNGGames Account

(b) “Social Network Account”: including social network accounts like Facebook,

Google, etc., and application accounts (such as Apple account), linked accounts

with other game developers.

3. Account And Login

3.1 Depending on the Service You choose to use, You are required to use an Account to log

in. Creating an Account and logging in to the Services can be conducted in one of the

following ways:

(a) Using a VNG Account: When using a VNG Account, besides complying with this

corresponding VNG Account service(s).

(b) Using a Social Network Account and/or Your phone number: In each period, the

Services may allow You to use a Social Network Account to log in. You must fully

comply with this Terms of Service, and the terms of services of the provider where

You create the Social Network Account, and be fully responsible for Your usage of

the Social Network Account to log in to the Service.

Your Account will be tied to the device You are using to log into the Games.

3.2 To ensure Your legal rights and benefits, VNG recommends logging in with a VNG

Account or one of the methods outlined above. Regardless of the method You choose to

information. VNG will not be able to accept and resolve Your complaints if You cannot

provide evidence to demonstrate You are the owner of the Account.

3.3 You clearly understand and agree that to avoid loss or unauthorized access to Your

Account (e.g., hacking), You must not disclose (whether intentionally or not) any

information regarding Your Account, and the password of Your Account to any other

third party, even that is Your relatives; at the same time, You need to take reasonable

measures to secure Your Account. Under any circumstance, If You notice or suspect

unauthorized access, You should (i) immediately change the password and/or (ii) inform

VNGGames Account is a single account that lets you access and enjoy various games and services from VNGGames

with seamless experience.

VNG and follow the necessary procedures to temporarily lock Your Account to mitigate

any damage that may be caused under VNG’s Complaint Handling Process.

4. Collection, Use, and Protection of Customer Information

4.1 VNG understands the importance of the Personal Information You entrust to VNG and

recognizes Our responsibilities to appropriately manage, protect, and process your

Personal Information. To help You understand how VNG processes the Personal

Information You provide, whether now or in the future, and to assist You in making

decisions before providing VNG with Your Personal Information, VNG has established

a Privacy Policy to explain in detail how We collect, use, and protect Your information.

Please see the Privacy Policy to understand how VNG processes the Personal Information

You provide. You must confirm and agree to the Privacy Policy before using the Services.

4.2 To help VNG serve You all the best, You hereby agree and irrevocably allow VNG to

collect the information regarding the device and/or the application on Your device,

including sending to Your device software and application that helps to collect some

technical information in Your device through the Services in which You participate. VNG

shall keep all this information confidential per the Privacy Policy of VNG.

4.3 You clearly understand and irrevocably agree that VNG and its subsidiaries, affiliates,

and member companies may use the information You provide to send to You activity

information about the Services, including but not limited to: verifying the information

You provide; providing You with information; offering recommendations for

experiencing the Services’s feature, including new Services; providing information to

enhance Your user experience of the Services; or for other purposes within the

permissible processing period. Information may be sent by Us via emails, or other

methods accessible to You.

4.4 You clearly understand and agree that to enhance the security and safety level of the

Services, VNG is entitled to apply one or several suitable technical methods and/or

software, applications within or along with the Services; however, the application of the

aforementioned methods cannot entirely guarantee that Your Account will not be lost or

hacked, and VNG shall be exempted from any responsibility arising out of these

circumstances.

4.5 Unless otherwise stipulated in the applicable law of the territory that You use the Service,

You clearly understand and agree that if You do not log in or use Your Account within

06 (six) months since Your last login, it will be deemed that You have ceased using the

Services of VNG. In order to optimize the system resource use, VNG is allowed (but not

obliged to) delete Your Data within such Services, and/or the Your character-related Data

within such Games.

5. Right To Use The Services

5.1 By agreeing to and complying with applicable laws and Service Regulations, VNG grants

You a non-exclusive, non-transferable, non-commercial, non-derivative right (regardless

the entire Services or separate components that constitute the Services) to install the

Software and Games on Your device, to access and/or use the Websites and Services of

VNG for personal purposes.

5.2 Besides the rights granted to You in Article 5.1, VNG reserves all intellectual property

rights to the Services and its derivative works, including but not limited to copyrights,

trademarks, source code, images, graphics, visual effects, features, music, sounds,

proprietary names, etc or other Content within the Services, along with other rights

relating to the Services remain under the ownership of VNG. You agree not to conduct

any actions beyond the rights granted in Article 5.1 without VNG's prior written consent.

5.3 You clearly understand and agree that:

(a) You shall comply with the current intellectual property law regarding the Games,

Software, Website, Content, or any Services of VNG that You install, access, and/or

use. You agree not to perform any actions that effect to any part of the Games,

Software, Website, Content, and Services including but not limited to monitoring,

interfering with the source code, copying, distributing, re-publishing, transmitting,

publicly exhibiting, publicly performing, adjusting, modifying, renting, selling, or

any other types of violating the intellectual property right of VNG, by any tool, any

automatic devices or manual procedure.

(b) During the operation and providing the Services, in order to serve customers in the

best possible way, VNG is entitled to update, supplement, modify, delete, or

eliminate one or several features, interfaces, and functions of the Services. In case

You continue to use the Services, You are deemed to have accepted the entire

modification of Services; in case You do not accept, You must immediately cease

using the Services, not re-log into the Services, and completely uninstall the

Services from Your device, in such case, VNG shall not be liable for Your Data in

the Services.

any time it deems suitable, delete the old Data stored on the server of the Service.

(d) VNG shall apply necessary technical methods to assist You in having the best

experience while using the Services; however, in some unpredictable cases, the

Services may (i) be interrupted, (ii) experience an error (bug), (iii) lose or duplicate

some information, features of the Services and/or Your character account of You in

the Games, in such cases, VNG shall apply all necessary measures (within its

allowed capabilities) within a reasonable time to resolve and You agree to exempt

VNG from any relevant responsibility.

(e) All technical information, feature-related information, recipes, and technical

solutions of the Services are confidential; therefore, VNG is not obliged to provide

You with any of the aforementioned information by any means.

(f) In order to provide You with the best gaming services and continuously improve

them, VNG has the right to amend, update, or optimize them such as setting relevant

value and/or features of the virtual units, virtual items, bonus points within the

Games which You currently have or use, and You will not refrain from the pursuit

of any responsibility and liability from VNG.

(g) Games, along with Your experience (for entertaining) in the Games, are provided

for entertainment purposes. You must comply with relevant law and agree that

virtual items, units, bonus points, and other value-added benefits provided to You

by VNG within Games are not asset and cannot be exchanged for money, prepaid

card of telecommunication service, bank card, voucher, top-up card (game card),

gift card, or other valuable items for trading outside the Games; and You are not

allowed to buy or sell these virtual items, units, benefits, bonus point with other

users. Therefore, if Your Account or Your character account in Games is deleted

and/or if the Game is temporarily or completely discontinued (for any reason), these

virtual units, items, bonus point, benefits will no longer be valid and shall be deleted

right after finishing all required procedures by the law (if any) and VNG has no

obligation to return or compensate You with any monetary compensation or items;

but VNG will notify You reasonably in advance and have solution to ensure Your

benefit in accordance with law regulations.

(h) Promotional programs and events in the Games or Services will only be officially

announced on the Homepage of the Games, on the Game social fanpages, the

Website of the Services, and/or through the in-game system of the Games and

Services; therefore, any advertisement information, promotion programs, or

invitation not originated from the aforementioned official sources can be fraudulent

and being used to misappropriate Your Account, and VNG will neither be

responsible for nor liable to You for any losses incurred under these circumstances.

5.4 This right to use the Services shall be terminated as stipulated in this Terms of Service or

if You do not comply with any of the regulations in this Terms of Service or the Service

Regulations that You are currently using. In such cases, VNG has the right to immediately

terminate Your right to use the Services.

6. Fees and Payments

6.1 The Services and Games that We provide may include fee-based features, including but

not limited to: Game download fees and installation fees; playtime fees (if applicable),

virtual units, virtual items, benefits, and other value-added services for use within the

Services and Games that VNG provides to You, depending on the specific Services,

Games and timeframes announced by VNG.

6.2 To pay the fees and complete the transaction of purchasing a virtual unit, virtual item,

benefits, and other value-added services for use within the Services and Games provided

by VNG, You must select a payment method before You proceed with the payment

transaction or by the time You start to register such Services and Games. Your selection

of payment method allowed by Our Services and Games will determine you shall pay Us

directly or a third party who provides the payment service. In case the payment method

You choose is provided by a third party, You will also be subject to the corresponding

terms and conditions, and privacy policies of such third party. For the avoidance of doubt,

We will not collect or receive any information regarding the payment account that You

provide to such third party for the implementation of the transaction.

6.3 Some virtual units, virtual items, benefits, and other value-added services for use within

the Services and Games may be available for pre-order. Once payment is completed, You

will receive the virtual units, virtual items, benefits, and other value-added services for

use within the Services and Games according to instructions provided by Us on the

Homepage, Social fanpages of the Services and Games, or via other linked portals. Any

purchases of virtual units, virtual items, benefits, and other value-added services for use

within the Services and Games that We provide under the pre-ordered features are non-

refundable, non-transferable to any third party, and cannot be returned once payment is

successfully completed.

6.4 In some cases, virtual units, virtual items, benefits, and other value-added services for use

within the Services and Games provided by VNG can also be purchased directly from a

third-party payment provider that We cooperate with. All payments for virtual units,

virtual items, benefits, and other value-added services for use within the Services and

Games will be handled by such third party. In these cases, the purchase of virtual units,

virtual items, benefits, and other value-added services for use within the Services and

Games from such third party will be governed by their corresponding terms and

conditions, and privacy policies and the current regulation of the country or territory

where the purchase occurs.

6.5 In case You choose to use a game card issued by Us as Your payment method, please

note that the game card can only be used for purchasing virtual units, virtual items,

benefits, and other value-added services for use within the Games, corresponding to the

country or region where the game card was issued.

6.6 In case the payment method You choose incurs transaction-related fees, You agree to pay

those fees to receive the virtual units, virtual items, benefits, and other value-added

services for use within the Services and Games. Depending on the country, territory, and

payment method You choose, the payment amount for the receipt of virtual units, virtual

items, benefits, and other value-added services for use within the Services and Games

may include applicable taxes, fees, and other related charges (e.g., currency conversion

fees). You are solely responsible for fulfilling these tax and fee obligations unless

otherwise specified.

6.7 If You opt for a subscription to any Games and Services, You agree that any of Your

transactions and/or access rights to the Games and Services can be suspended or canceled

in case We do not receive the necessary payment from You within the required timeline.

You may cancel the automatic recurring payment feature at any time, however, please

note that in such cases, all prior payments and all purchase transactions of any virtual

units, virtual items, benefits, and other value-added services for use within the Services

and Games are non-refundable.

6.8 By purchasing any virtual units, virtual items, benefits, and other value-added services

for use within the Services and Games or any other Service that We provide, You shall:

(a) Ensure that You have the full right and authority to use the selected/about-to-use

payment method; You also ensure that any payment information You use to execute

the transaction is truthful and accurate;

(b) Authorize VNG or applicable third-party payment service provider to charge You

the amount of payment for the purchase of virtual units, virtual items, benefits, and

other value-added services for use within the Services and Games; and

amount of payment for any paid features of the Services that You subscribe to or

use during the valid term of this Terms of Service;

(d) Depend on the nature of the purchase transaction and the current regulations of each

country and territory, VNG may issue receipts and/or invoices to You (a) before,

(b) at the time of purchase, or (c) periodically for subscription-based Service.

6.9 VNG can change, at any time, the price of the virtual units, virtual items, benefits, and

other value-added services for use within the Services and Games, or any other Services.

If a fixed-term price is offered for some virtual units, virtual items, benefits, and other

value-added services for use within the Services and Games, the old price will remain in

effect for the duration of such term. The new price will apply to subsequent terms.

6.10 While using the virtual units, virtual items, benefits, and other value-added services for

use within the Services and Games, We offer You a limited, non-exclusive, non-

transferable, non-sublicensable right, and We reserve the right to revoke any of the

mentioned rights based on Your personal entertainment or non-commercial purposes. All

the rights are regulated by the terms of use, regulations, rules, guidelines, notices, and

announcement published by VNG within the Services and Games, or on the Websites, or

other linked pages (developed and owned by VNG), or informed to You during Your use

of specific Games or Services.

6.11 Virtual units, virtual items, benefits, bonuses, and other value-added services for use

within the Games are not assets, have no monetary value, and hold no value outside the

Games; are forbidden from being converted back into money, prepaid telecommunication

service card, bank card, voucher, game card, gift card, or other valuable items for trading

outside the Games. You are not allowed to buy or sell any virtual units, virtual items,

benefits, bonus points, or other value-added services for use within the Games to other

users. The virtual units, virtual items, benefits, bonus point, and other value-added

services for use within the Games can only be used to buy or exchange for virtual items,

benefits or other value-added services for use within such specific Games.

6.12 UNLESS OTHERWISE REQUIRED BY APPLICABLE LAWS IN THE COUNTRY

OR TERRITORY WHERE THE SERVICES ARE PROVIDED, OR SPECIFIED IN

THE TERMS OF A PROMOTION, ALL PURCHASES OF VIRTUAL UNITS,

VIRTUAL ITEMS, BENEFITS, AND OTHER VALUE-ADDED SERVICES FOR

USED WITHIN THE SERVICES AND GAMES ARE FINAL AND NON-

CANCELLABLE, NON-REFUNDABLE, NON-RETURNABLE OR NON-

EXCHANGEABLE. YOU CAN CANCEL THE SERVICE AT ANY TIME,

HOWEVER, ALL THE PREVIOUS PAYMENTS AND ALL SUCCESSFUL

PURCHASE TRANSACTIONS OF ANY VIRTUAL UNITS, VIRTUAL ITEMS,

BENEFITS, AND OTHER VALUE-ADDED SERVICES FOR USE WITHIN THE

SERVICES AND GAMES ARE NON-REFUNDABLE.

6.13 If You make a purchase transaction through third parties authorized by VNG or via third-

party payment service providers, You must read the terms and conditions of such third

parties to understand their refund policies. Unless otherwise required by applicable laws

of the country or territory where We provide the Service, We will not be liable for refund

requests related to transactions You make with the aforementioned third parties.

6.14 VNG only accepts payments made through the payment portal of VNG or the payment

channels of VNG’s partners that have been introduced and announced within the Games

and Services, and/or on the Homepage, social fanpage of the Games, Website of the

Services. VNG is exempt from any liability that accures from payments made through

other unauthorized portals/channels.

6.15 In any case, where You have made a successful payment and the amount of virtual units,

virtual items, benefits, or other value-added services for use within the Services and

Games is already recorded into Your corresponding Account or character account that

You use in the Games and Services, but later (i) VNG receives refund request from the

payment service provider, intermediary payment service provider, application store;

and/or (ii) VNG receives cooperation requests from the payment service provider,

intermediary payment service provider, application store, or Competent Authority to lock

Your Account due to fraudulent and investigation cooperation; and/or (iii) VNG suspects

that Your transaction is fraudulent, the transaction information has been misused, or

illegal transaction, VNG reserves the right to:

(a) Proceed with the refund request in accordance with the relevant regulations and

deduct any benefits that You have earned from such payment from Your Account

and character account within the corresponding Services and Games. If such

deductions are not sufficient (since You have already used them), VNG reserves

the right to deduct them from the next transaction and/or delete and retrieve the

virtual units, virtual items, benefits, or other value-added services for use within the

Services and Games that You have received from such payment;

(b) Your Account may be subject to temporary or permanent suspension, depending on

the severity of the violation;

proceed with criminal prosecution, depending on the severity of the violation.

7. Violations and Sanctions

7.1 Besides complying with the Services Regulations, including the VNGGames Community

Standard, You commit NOT to perform any of the following activities:

(a) Misuse the Services to:

(i) compromise national security, social order, or public safety; undermine

national unity; promote war, terrorism, hatred, or conflicts between

ethnicities, races, or religions;

(ii) Spread violence, obscenity, depravity, crimes, social evils, superstitions, or

content that undermines cultural values and traditions;

(iii) Disclose state, military, security, economic, diplomatic, or other legally

protected secrets;

(iv) Disseminate false information, defame, or insult organizations or individuals;

(v) Advertise, promote, or sell prohibited goods or services within the Games or

Services; distribute banned publications;

(vi) Impersonate organizations or individuals to spread false or misleading

information that infringes upon others' rights;

(vii) Commit fraudulent transactions and activities, money laundering, terrorism

funding, or activities related to terrorism or the illegal arms trade/funding, or

exploit transaction information;

(viii) Engage in any other unlawful acts;

(ix) Conduct actions specified in the VNGGames Community Standard.

(b) Infringe VNG’s and developer’s Intellectual Property rights relating to Servies by:

(i) Removing copyright or intellectual property notices/information from the

Services;

(ii) Modifying, reverse-engineering, decoding, or using other methods to detect

and/or tamper with the Services' original code of the Services;

(iii) Scanning or testing to detect vulnerabilities or bugs in the Services for

malicious purposes;

(iv) Copying, altering, supplementing, removing, changing the features or

efficiency of the Service operation regarding the generated and stored data at

any time during the operation of the Service or the data interacted between

the server and client during the operation of the Service and other necessary

system data to operate the Services, including but not limited to plug-ins,

auto, or other relevant systems connecting with third-party tools without

VNG's prior written consent;

(v) Using, renting, lending, copying, amending, connecting, transmitting, editing,

publishing or creating a website, microsite, etc. with the intellectual property

owned by VNG or exclusively licensed to VNG to use, distribute, or release;

(vi) Creating unauthorized websites or microsites related to the Services or similar

or exactly the same with the Services;

(vii) Other acts specified in the VNGGames Community Standard.

(i) Unauthorize use of another user’s Account or password.

(ii) Trade with other users the virtual items, virtual units, benefits, bonus points,

and other value-added services for use within the Services and Games.

(iii) Disrupt the fairness of the Games by (i) taking advantage of – regardless of

intentional or not – bugs in the Games, plot holes of the Games script or

design for cheating purposes, or other activities that violate the Service

Regulations; (ii) use the software, application and/or other device to

interfering the Games and/or the Games server system, and/or (iii) any other

activities to gain an unfair advantages over other users in violation of the

Service Regulations.

(iv) Speculate on or engage in profiteering by taking advantage of the virtual

units, virtual items, benefits, and other value-added services for use for the

usage within the Services and Games provided by VNG to You and/or using

the virtual units, virtual items, benefits, and other value-added services for

use for the usage within the Services and Games created in violation of the

Services Regulations.

(v) Use unauthorized third-party tools, applications, software, or devices to

interfere with the Games, Services.

(vi) Use any method engaging in fraudulent or unlawful activities in violation of

the Service Regulations and provision of the law for the purpose of

speculation/profiteering.

(vii) Discuss or express political, religious, or ethnic issues within the Services.

(viii) Curse and/or engage in verbal abuse, harassment, or offensive behavior that

insults the honor, reputation, or dignity of any individuals or organizations,

whether within or outside of the Services.

(ix) Engage in acts of enticing, persuading, or and making promises to other users

for fraudulent purposes.

(x) Impersonate others or intentionally make others misunderstand You as

another user in the Services.

(xi) Impersonate or intentionally make others misunderstand You as a VNG’s

employee, staff, or collaborator.

(xii) Perform any acts or making any statements that could harm VNG’s and

Services’ reputation, brand, or goodwill.

(xiii) Conduct any act that disrupt security and order at the headquarters, any

branches, representative offices, or business locations of VNG and/or its

affiliated entities.

(xiv) Conduct any speech, behaviors, or actions that infringe upon the body,

reputation, honor, dignity, or threaten employees or workers (regardless of

whether they are temporary employees, collaborators, or official employees)

of VNG.

(xv) Other behaviors that are contrary to the common code of conduct of the online

gaming user community, the online entertainment industry, and/or other

industries related to the Services provided by VNG.

(xvi) Conduct any other activities explicitly prohibited under the VNGGames

Community Standard.

7.2 In addition to the specific violations and penalties outlined in this Terms of Service, for

any violations of the Service Regulations, including the VNGGames Community

Standard, VNG reserves the right to address such violations through its systems or

features. Depending on the severity and consequences of the violation, VNG has full

discretion to evaluate and decide on one or more of the following actions:

(a) Reminder: Applied to first-time violations that have minimal impact on the Services

and/or other users.

(b) Warning: Applied to violations that were previously addressed with a reminder but

not rectified and/or repeated violations OR violations as specified in subsections

(vii), (viii), (ix), (x), (xi) of Section 7.1(c) of this Terms of Service.

Games and Services: Applied to violations that were previously addressed with a

warning but not rectified and/or repeated violations, OR violations as specified in

Section 6.16, subsection (vii) of Section 7.1(a), and subsections (ii), (iii), (iv), (v),

(vi) of Section 7.1(c) of this Terms of Service.

(d) Temporary Account Suspension (specific duration of the suspension depends on

the nature and severity of the violation): Applied to violations that were previously

addressed with a warning OR has already been addressed under Section Section

7.2(c) but not rectified and/or repeated violation OR violations of Section 6.16,

Section 7.1(a), 7.1(b), or subsection (i), (ii), (iii), (iv), (v), (vi), (xii), (xiii), (xiv),

(xv) of Section 7.1(c) of this Terms of Service.

(e) Permanent Account Suspension: Applied to violations that were previously

addressed in accordance with Section 7.2(d) but were not rectified and/or repeated

violations, OR violations of Section 6.16, Section 7.1(a), 7.1(b), subsections (i), (ii),

(iii), (iv), (v), (vi), (xiv), (xv) of Section 7.1(c) OR violations on “Additional

Regulations for Violations” stipulated in Section 14.2 of this Terms of Service.

(f) For violations stipulated in Section 6.15, subsection (vii) of Section 7.1(a),

subsections (ii), (iii), (iv), (v), (vi) of Section 7.1(c), depending on the nature and

severity of the violation, VNG may impose both Deduction and/or Deletion of

virtual units, virtual items, or benefits for the usage within the Games and Services

alongside either Temporary or Permanent Account Suspension.

(g) Actions shall be taken in accordance with the method stipulated in the VNGGames

Community Standard for violations of rules specified within this community

standard.

(h) Referring the case to Competent Authority for handling or criminal prosecution:

Applied to violations with indications of fraud, criminal activity, or breaches of

criminal law.

Regardless of the measures specified above, in certain exceptional circumstances, VNG

reserves the right to impose additional or simultaneous measures to addres the violations

with the purpose of deterrence and/or ensure a healthy and fair community for Games and

Services.

7.3 If VNG detects or receives complaints or reports related to violations of the Service

Regulations by You or Your Account, depending on the nature and severity of the

violation, VNG reserves the right to handle the violation at its discretion according to the

Service Regulations. Additionally, VNG has the right (but not the obligation) to disclose

Your Account name, the violation committed, and the corresponding sanctions to other

users and/or other information channels that VNG can access to inform users of the

Games or Services.

7.4 In the event of any conflict between the Service Regulations regarding the measure for

handling violations, VNG reserves the full authority to determine which terms and

conditions shall be applied for resolution.

8. Services Related Complaints and Reports Handling

8.1 Any complaints, reports, or feedback related to the Games or Services will only be

received and addressed by VNG through the official online customer support channels in

accordance with VNG’s Complaint Handling Process at the time of receiving the

complaint. These channels include: (i) within the Games or Services, (ii) through the

Customer Support Center at the support section on the Game Homepage or Service

Website.

8.2 You agree that, to file a complaint, report, or feedback related to the Games or Services,

as well as to enable VNG to process and contact You, Your Account must contain

complete and verified information in accordance with the Service Regulations. If Your

Account lacks completed or verified information, or if VNG has reasonable grounds to

believe that the information You has provided is inaccurate, VNG reserves the right to

decline to resolve Your complaint or report until the accurate and completed information

is provided by You to VNG.

8.3 You agree that VNG’s response to Your complaints or reports via the online customer

support channels constitutes VNG’s final and official decision.

9. Intellectual Property Right

9.1 All Services and other related documents are intellectual properties of VNG and the

Services’s developer, therefore, when VNG grants You the right to use the Services as

specified in Article 5.1, You understand that You are only allowed to download the install

kit of the Service to Your device, install, and use them without taking any action to change

the status of the Services.

9.2 All Data generated during Your usage of the Services is the sole property of VNG.

Accordingly, VNG has full rights to store, use, and process this Data, except where

specific laws impose restrictions on certain types of Data.

10. Laws Compliance

10.1 You clearly understand and agree that You will: (i) fully comply with the laws of the

territory where You access or use the Services, or the laws of the country of Your

nationality; and (ii) be solely responsible for any consequences arising from non-

compliance with any applicable laws in the location where You access or use the Services.

VNG shall not be held responsible for any related issues.

10.2 In the event that VNG receives any complaints, notifications, or requests regarding Your

failure to meet the above requirements, or if VNG has reasonable grounds to suspect non-

compliance based on the information available to VNG, VNG reserves the right to

suspend the provision of Services to You without bearing any liability to You.

11. Governing Law

This Terms of Service shall be governed by and construed in accordance with the laws of

Singapore in all matters and aspects related to this Terms of Service. Any disputes,

controversies, claims, or differences of any kind arising out of or in connection with this Terms

of Service, whether against or involving VNG or any other party under this Terms of Service,

shall be resolved by arbitration at the Singapore International Arbitration Center (SIAC) in

accordance with its Arbitration Rules. The number of arbitrators shall be one (1), and the

arbitration proceedings shall be conducted in English. The arbitration venue shall be Singapore.

12. Amendment and Validity

12.1 This Terms of Service shall be effective from the date of publication and remain in effect

until replaced or revoked by another document and this Terms of Service supersedes and

replaces all previous terms of service relating to the Services.

12.2 You agree that VNG reserves the right to amend or supplement any part or entire of this

amendments or supplements, You have the right to terminate Your usage of the Services

before the amendments or supplements take effect. If You continue to use the Services, it

shall be deemed that You have accepted of all amendments and supplements.

12.3 In case of discrepancy between this Terms of Service with the terms of use of VNG

Account(s), and/or terms of use of Social Network Account, this Terms of Service shall

prevail.

12.4 In case of discrepancy between this Terms of Service with the official statement of VNG,

the content of the official statement shall take precedence.

13. Miscellaneous

13.1 If any provision of this Terms of Service is declared invalid by arbitration or a competent

court, the remaining provisions shall remain in full force and effect and continue to bind

You and VNG.

13.2 VNG’s failure or delay in exercising any rights or remedies provided under this Terms of

Service or the Service Regulations shall not be deemed a waiver of such rights or remedies

under this Terms of Service and a partial or entire exercise of any right shall not exclude

the exercise of any other rights or remedies under this Terms of Service.

13.3 This Terms of Service shall be made in English, and if there is a discrepancy between the

English version and translations into other languages, the English version shall prevail.

14. Additional Regulations for ESports

The regulations in this Article shall only be applied to Esports and shall be applied as additional

regulations for the Service Regulations when You participate in Our Esports activities.

14.1 Additional Regulations for Right To Use Services (Article 5.1):

The rights granted by VNG for You to use the features and services of ESports do not

include the right to use ESports for live streaming (with or without advertisements),

organizing tournaments, or oganizing competitions (whether for commercial purposes or

not), unless expressly authorized in writing by VNG.

14.2 Additional Regulations for Violations (Article 7.1):

In addition to the compliance of the Service Regulations, You shall NOT engage in the

following acts:

(a) Any acts that infringe the Intellectual Property Rights of VNG and the ESport’s

developer: conducting live streaming (whether for commercial purposes or not)

related to ESports without prior written consent from VNG.

(b) Regarding the operation and usage of ESports: organizing and/or participating in

any tournament using the Esports account and/or related to Esports that are not

organized by VNG or authorized partner of VNG without the prior consent of VNG.
